Standard Terms and Conditions / Purchase

Preliminary

  1. In these conditions the “buyer” means UniCap GT, the “seller” means the person, firm or company selling goods to UniCap GT. The Contract means the order confirmation for the purchase of the goods, and the “goods” means the goods (Including any installment of the goods or any parts for them) which the company is to supply in accordance with the conditions.
  2. No terms and conditions stipulated in any other communication or document shall vary or annul any of these conditions except insofar as the same are expressly consented to in writing by the buyer.
  3. When the seller agrees to sell to buyer they also accept to the UniCap Terms and Conditions for purchase as written here.
  4. This agreement is subject to acceptance by buyer at its office in Edina, MN and shall only be effective on the date thereof, and if signed by the purchase manager, Christina Hove.
  5. Jurisdiction of the courts of Denmark

Delivery, Transport and Installation

  1. Irrespective of any other provisions hereof, buyer shall bear the risk of damage from fire, the elements or otherwise, at such times the equipment has been delivered to the buyer. All shipping, installation and insurance costs shall be borne and promptly paid by buyer unless other agreed in writing. Seller will cause the equipment to be proper packed and prepared for shipping.
  2. Delay: In case the delivery date is exceeded more than 7 days buyer is entitled to either cancel the contract and claim damages for losses suffered or to claim a penalty of 2% of the purchase price each starting week the delivery is delayed.

Taxes

  1. Buyer warrants that this purchase is for purposes of resale only. Buyer will not be responsible for payment of any sales taxes imposed upon seller by taxing authorities by reason of the sale and delivery herein provided for. Any personal property taxes assessed on the equipment prior to delivery shall be paid by seller.

MAINTENANCE and warranty

  1. Seller represents and warrants that seller will be the lawful owner of the equipment, free and clear off any liens and encumbrances and will have full right, power and authority to sell the same to buyer. Seller warrants that the equipment has been maintained in accordance with the manufacturers maintenance agreements. Buyer or its agent has the right to inspect the equipment up to date of delivery for general appearance and operating condition and also to inspect equipments logbook, Seller agrees to assign to buyer any manufacturer warranty relating to the equipment. Seller provides at a minimum 30 days warranty.
